Roll Call. Board members present: Bob Shilke, Patti Malloy, Kevin Zemejda, Bernie Karmilowicz
Certification of Proxies/Proof of Quorum. 11 present, 3 by proxy, 1 late arrival
Proof of Notice of Meeting via mail and website
A quorum was not reached, so the meeting was adjourned and a new meeting was called to order.
Minutes from the November 12, 2008 Annual Meeting were read by Patti Malloy, and approved by the Board with corrections.
Gina Morris (rep. D.H. Bader) explained the role of board, election process, and lean/legal process for recovering delinquent dues. She presented a WCA financial report, and presented metrics on foreclosures and homeowners delinquent in WCA dues payments.
Board of Directors reports:
- Bob Shilke (Vice President)
- Noted completed and pending tree maintenance (general trimming, removal of dead Oak tree on KHC, and installation of 10 Cypress trees along Cradlerock Way South).
- Noted storm drain maintenance (2-year intervals by County on MBC and upper HLC), and drain installation on lower HLC for storm/ground water management.
- Expressed intent to contract for firelane repainting in Spring 2010.
- Expressed intent to organize volunteers to repaint parking ticks in Spring 2010.
- Expressed intent to contract for a formal reserve-fund study.
- Reported snow plowing costs, and plans to contract with an alternate plowing service in 2010.
- Kevin Zemejda (Secretary)
- Presented metrics on covenant-violation and dues collection letters written/sent.
Gina Morris was elected Inspector of Elections.
Brenda McCoy (President) was nominated in her absence. The Board members present noted Brenda's contributions.
Board nominee Tom Murphy was introduced and gave a brief speech.
Both Brenda and Tom were elected by a majority of residents (present and via proxy).
Unfinished business:
- The Board members present voted unanimously to continue the quarterly dues payment schedule thru 2010.
- The Board agreed to delay deciding how far in arrears to allow households to fall before initiating civil action until the December Board meeting.
New business:
- The Board voted to increase yearly dues 5%. For: Brenda (by proxy), Bob, Patti, and Bernie. Against: Kevin
- A resident expressed concern regarding fluctuations in community involvement, and perceived indifference by the Board. Bob invited the resident to suggest solutions or volunteer time to the community. The resident declined.
- Two of three households having a $16.82 balance-due on their accounts asserted they paid their yearly dues in full as one lump-sum, but the October WCA account activity report showed a $71.62 credit remaining on their accounts for 2009 Q4, rather than $88.44. Gina Morris stated D.H. Bader will investigate and respond accordingly.
