Roll Call. Board members present: Brenda McCoy, Bob Shilke, Patti Malloy, Tom Murphy, Bernie Karmilowicz (arrived late)
Certification of Proxies/Proof of Quorum. 9 present, 3 by proxy, (2 late arrivals)

A quorum was not reached, so the meeting was adjourned and a new meeting was called to order.
Minutes from the November 11, 2009 Annual Meeting were read by Bob Shilke, and approved by the WCA homeowners present.
Gina Morris (rep. D.H. Bader) explained the role of board, election process, and lien/legal process for recovering delinquent dues. She presented a WCA financial report, presented metrics on foreclosures and homeowners delinquent in WCA dues payments, and noted an audit finding the WCA's books in good order was completed for 2010.
Board of Directors reports:
- Brenda McCoy (President)
- Noted covenant-violation letters were mailed this year, and for the most part homeowners responded positively. She expressed concern some homeowners and landlords have not addressed the violations. Brenda stated Patty and Bernie mailed reminder notices to those remaining residents, and the Board will follow-up.
- Expressed concern regarding disabled and unregistered vehicles detract from the Woodlake community and continue to aggravate the parking space-availability problem.
- Expressed concern regarding litter and bulk trash, and requested residents contribute to a solution by picking-up trash when practicable.
- Expressed concern a few residents fail to return Giant's carts to the shopping center - instead leaving the carts in the Woodlake community. She noted Board members have repeatedly spoken to Giant management without an effective response. Thought the carts cannot be re-sold by the WCA, Bernie suggested instead disposing of each $500 cart at the County landfill to encourage Giant to implement a solution.
- Bob Shilke (Vice President)
- Replaced three cypress trees in front of HLC - two of which were under warranty.
- Volunteered with Ernie Owens [7382 HLC] to repaint all Woodlake fire-lanes during the Summer of 2010.
- Noted the Board intends to contract for a Capital Reserve study in 2011, and reinforced the need for a large reserve - currently $111,000 - by noting the last major repairs cost $65,000.
- Noted WCA incurred no major tree expenses in 2010
- Reported the cost of snow removal exceeded WCA's budget, and noted the 2009-2010 Winter - with its three major snow-storms - was unusually severe. The 2010 cost for snow removal is $8,000 to date. Bob noted costs are minimized creatively - such as by considering near-term weather forecasts before requesting supplemental snow services.
- Selected Alliance Landscaping for the upcoming Winter’s snow removal given their lower hourly rate.
- In response to a resident's inquiry regarding which party (WCA or the County) is responsible for repairing curbs damaged by snow plows; Bob answered he solicits County assistance with curb repairs when working with the County to plan general street repairs.
- Noted WCA is 2/3 into a 3-year contract with Brickman for landscaping maintenance of Woodlake's common areas, and commented there is consensus Brickman's leaf removal activity is satisfactory.
- In response to a resident's notice Brickman begins noisy leaf-blowing activity prior to 9:00AM; Bob replied he will request Brickman rotate starting-locations for the activity to avoid unnecessarily disturbing any single household.
Election of WCA Board of Directors:
- Gina Morris was elected Inspector of Elections.
- The terms of Patti Malloy and Kevin Zemejda were ending.
- Patti volunteered to continue serving on the Board, and gave a brief speech.
- Prior to the annual meeting; Kevin notified the Board he would be unable to continue serving.
- Bernie Karmilowicz was volunteered. He accepted the nomination and gave a brief speech.
- Both Patti and Bernie were elected to the Board by a majority of residents (present and via proxy).
Unfinished business:
New business:
- The Board and residents expressed concern regarding the number of boats and other non-street recreational vehicles - some unregistered - and commercial vehicles parked/stored on HLC in violation of OBCA/WCA covenants. The Board stated its intent to remedy the problem via actions to include violation-notification letters to offenders, towing, and OBCA intervention when necessary.
- A resident inquired regarding the care and feeding of grass on Woodlake open-space come Spring 2011. The Board noted Brickman will/should adequately maintain the community lawns per its grounds-keeping contract with the WCA.
- A resident requested the planting of trees in the common field between MBC and HLC in Spring 2011.
- A resident expressed concern regarding a parking space-availability problem near her KHC townhome due to a few households with many vehicles monopolizing the spaces. Some Board members and residents noted - though there are no formally-assigned spaces - residents on upper KHC and lower HLC attempt to maintain parking "gentleman agreements" which for the most part alleviate contention for parking spaces.
- A resident requested the WCA assign parking spaces to each household. Bob replied the County controls a 10-foot offset from the County-owned streets onto the parking pads, and County Code prohibits private assignment of that offset, thus limiting parking assignment by the WCA to at best the few parking pads on WCA-owned streets.
- A resident advised of a storm-water drainage problem negatively affecting the sidewalk near her townhome. The Board replied it anticipates the Capital Reserve study will flag the problem and suggest correction. Bob volunteered to survey the area with the intent to implement a solution if practicable in the interim.
